PORTRAIT SERVICES AGREEMENT

1. THE PARTIES
This Agreement is between Zachary Bohlman Photography ("Photographer") and the booking individual ("Client"). By checking the "I Agree" box during the checkout process and paying the required deposit, the Client agrees to be legally bound by these Terms and Conditions.
2. SCOPE OF WORK
The Photographer agrees to provide portrait photography services at the location and time selected by the Client during the booking process. The specific package details (duration, number of images, and deliverables) are defined by the package selected at checkout.
3. PAYMENT & DEPOSIT
• Non-Refundable Booking Fee: A booking fee of 50% of the total session cost is required to secure the specific date and time. This booking fee is non-refundable as it serves as compensation for holding the Photographer’s limited availability.
• Balance: The remaining balance is due no later than 72 hours prior to appointment otherwise the session will automatically be cancelled and become available for other clients. The booking fee remains non-refundable.
4. CANCELLATIONS & RESCHEDULING
• Client Cancellation: Once booking is completed, the booking fee is non-refundable regardless of cancellation reason.
• Rescheduling: Requests to reschedule are subject to the Photographer's availability. If no alternative slot is available, the cancellation policy applies.
• Weather: In the event of severe weather creating dangerous conditions (heavy rain/lightning), the Photographer has sole discretion to reschedule the session or move to a covered location. Overcast skies are not considered severe weather.
• Photographer Cancellation: If the Photographer cannot perform this Agreement due to fire, casualty, strike, act of God, illness, or travel cancellations, the Photographer shall return all monies paid, including the booking fee, but shall have no further liability with respect to the Agreement.
5. LATE ARRIVALS
Sessions are scheduled back-to-back. If the Client arrives late, the session will end at the originally scheduled time. No partial refund or extension will be given for time lost due to Client lateness.
6. EDITING & DELIVERABLES
• Creative Control: The Photographer edits images according to their professional artistic style. The Client acknowledges they have reviewed the Photographer’s portfolio and accepts this style.
• No RAW Files: The Client is purchasing finished JPEG images. Unedited RAW files are not available for purchase or viewing.
• Delivery Timeline: Final edited galleries will be delivered via digital download within 21 days of the session date.
• Storage: The Photographer will archive images for 3 months. After this period, the Photographer is not responsible for archiving or storing files.
7. COPYRIGHT & USAGE LICENSE
• Copyright: The Photographer retains the entire copyright in the photographs pursuant to the Copyright Act.
• Client License (Personal Use): The Client is granted a perpetual, non-exclusive license to print, display, and share the images for personal use (e.g., LinkedIn, Instagram, family prints).
• Prohibited Use: The Client may not sell the images, enter them into contests, or authorize any third party to use the images for commercial advertising without express written permission from the Photographer.
• Integrity of Work: The Client agrees not to materially alter the images (e.g., applying heavy filters, cropping out the Photographer's watermark if present, or distorting the image) in a way that misrepresents the Photographer’s artistic intent. The Photographer reserves the right to request the removal of any public post that significantly distorts the original work.
8. MODEL RELEASE (PRIVACY TOGGLE)
• Default Grant: Unless the Client explicitly opts out during booking, the Client grants the Photographer the right to use images from this session for professional self-promotion, including the Photographer's portfolio, website, and social media. This permission is irrevocable.
• Privacy Option: If the Client selected "No, please keep my gallery private" in the booking questionnaire, the Photographer waives the right to public display and agrees to keep all images confidential.
9. LIMITATION OF LIABILITY
• Technical Failure: In the unlikely event of a mechanical failure, loss of data, or damaged memory cards, the Photographer’s liability shall be limited to a full refund of all monies paid. The Client agrees not to sue for additional damages such as emotional distress or any other damages.
• Personal Injury: The Client assumes all risk and liability for any injury or accident that may occur during the session (e.g., tripping on steps). The Client agrees to hold the Photographer harmless from any liability for any injury or damage that results from participation in portrait photography.
10. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Minnesota. Any legal action resulting from this Agreement shall be brought in the courts of Dakota County, Minnesota.
